Terms of Service

By accessing Ground Basis, creating an account, ordering an audit, purchasing a subscription, viewing a sealed verification record, or using any report, score, alert, dashboard, API, or related service, you agree to these Terms of Service. If you do not agree, you may not use the service.

Ground Basis is a data analytics and forensic research firm. The platform compiles, normalizes, and analyzes public records, municipal dockets, property records, infrastructure signals, user-submitted materials, and third-party data sources to produce decision support artifacts for property diligence workflows.

Outputs may include risk indicators, integrity scores, audit trails, sealed hashes, monitoring notices, research summaries, and evidence packets. These outputs are informational research products, not guarantees of title, value, compliance, market performance, or transaction outcome.

Ground Basis is a decision support tool. It does not provide legal, financial, investment, tax, appraisal, engineering, insurance, brokerage, title, or underwriting advice. No report, score, badge, certificate, alert, or analyst note should be treated as a substitute for advice from qualified licensed professionals.

You are solely responsible for evaluating the information, engaging appropriate advisors, and independently verifying all findings before making any purchase, sale, financing, compliance, litigation, tax, or investment decision.

You are responsible for maintaining the confidentiality of account credentials, access links, API keys, and shared audit materials. You agree not to misuse the platform, attempt unauthorized access, scrape protected systems, reverse engineer scoring logic, interfere with platform operations, or use Ground Basis in violation of applicable law.

Paid services may include one-time forensic audits, monitoring subscriptions, institutional research access, and related products. Prices, billing intervals, and included features are shown at checkout or on the pricing page. Unless otherwise stated, fees are non-refundable once research work, monitoring, or fulfillment has begun.

Ground Basis relies on public agencies, municipal databases, third-party providers, user submissions, and automated research systems. Source records may be delayed, incomplete, misindexed, unavailable, or later corrected. Ground Basis does not warrant that every relevant fact, filing, lien, ordinance, risk, or defect has been discovered.

The Basis Protocol™, platform interface, scoring models, templates, reports, certificates, workflows, copy, visual systems, and research methodology are owned by Ground Basis or its licensors. You receive a limited, revocable, non-transferable license to use purchased outputs for internal diligence and authorized transaction review only.

You are responsible for ensuring that your use of Ground Basis complies with laws, contractual obligations, confidentiality duties, privacy requirements, and professional standards applicable to you. You may not use the platform for unlawful discrimination, harassment, surveillance abuse, fraud, or any purpose prohibited by law.

Ground Basis is provided on an “as available” and “as is” basis. To the fullest extent permitted by law, Ground Basis disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.

To the fullest extent permitted by law, Ground Basis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, transaction losses, or reliance damages. Any aggregate liability is limited to amounts paid to Ground Basis for the specific service giving rise to the claim during the twelve months before the claim arose.

We may update these Terms, modify features, suspend accounts, or terminate access where required for security, legal compliance, nonpayment, misuse, or operational integrity. Continued use after an update means you accept the revised Terms.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Questions about these Terms may be directed to the Institutional Desk.
